Platform
About Capitalez
How the platform works, what it delivers and by which models the offers are structured.
What is Capitalez?
Capitalez connects growing companies with investors through equity participation offers and convertible instruments. Under CVM Resolution 88, public offers must be intermediated by a platform registered with the CVM. The site provides educational material and, depending on its operational stage, offer information and follow-up channels.
What is the difference between equity participation and a convertible instrument?
In an equity participation, the investor acquires a stake in the company, with rights defined by the instrument, the company's legal form and the agreement. A convertible instrument represents debt that may be converted into equity under the contractual conditions; before then, it grants no shareholder rights. Each offer sets out the specific risks and rules for both models.
How does Capitalez make money?
Capitalez's remuneration and any costs for investors and issuers must be presented in the proposal and the official documents for each offer, with their criteria and conditions. Any conflicts of interest must also be highlighted in the essential offer information. Do not assume that there are no charges: check for fixed, success, performance or other fees, where applicable.
Is Capitalez regulated and supervised?
Intermediation of public offers under CVM Resolution 88 is reserved for platforms registered with the CVM. Capitalez can only conduct this activity after completing its registration. Exemption from offer registration does not mean prior analysis or approval by the CVM. The regulator's public list allows investors to check registered platforms, without inventing a registration number that has not been confirmed.
Investors
For investors
Who can invest, what the minimum contribution is and what happens after confirmation.
Who can invest?
Individuals and legal entities can participate, subject to registration, the risk acknowledgment and the offer limits. Under CVM Resolution 88, the general limit is R$ 20,000 per calendar year, with exceptions for lead and qualified investors and for people who declare income or investments above R$ 200,000, within the percentage limit and declarations required by the rule. There is no general suitability assessment requirement in this regime, but that does not mean a recommendation or a guarantee that an offer is suitable for you.
What is the minimum investment amount?
The minimum varies from offer to offer and is disclosed before the investment is confirmed. Compare it with the annual limit that applies to you and with your financial capacity. A low minimum investment does not make an offer suitable for everyone or reduce the risk of loss.
How do I follow the investment after investing?
The current dashboard is a demonstration that uses local sample data and is not a permanent service. For real offers, the channels, documents and update frequency must be checked in the essential information and the agreement. The offer page and continuing information have their own deadlines and conditions, not a promise of permanent availability.
Is there any guarantee of return or of capital?
No. Capitalez is not the issuer of the investment and offers no guarantee of capital, return or early redemption, nor FGC coverage. The amount invested is subject to total or partial loss; prior analysis, documents and support do not eliminate that risk. Consider the essential information, your financial capacity and, when needed, independent professional advice.
How does the money reach the company, and how does the exit value come back to me?
Funds do not pass through Capitalez accounts. After the offer closes and its success is confirmed, the final amount is transferred to the issuer; if the minimum target is not reached, the funds are returned to investors. Later payments, including any exit proceeds, follow the instrument, the agreement and the flow disclosed in the offer, without any guarantee of liquidity or return.
Does the stake pay dividends, or does the return come from a sale?
Both can exist, and neither is guaranteed. A company may distribute profits or dividends to its shareholders, but that is a decision of management and the shareholders' meeting, and it may not happen in any given year. On the other hand, a capital gain arises when the stake is sold for more than was invested. Holding a stake does not mean guaranteed monthly income, and the agreement defines whether and how payments are made.
How is my personal data protected?
Data must be limited to what is needed for registration, declarations, investment formalization and legal obligations, including crime prevention. The privacy policy explains processing and the operators involved, without promising that no data will be shared. Data subjects may exercise their legal rights, subject also to legal retention duties and periods.
Companies
I want to raise capital
Eligibility criteria, round sizing and what Capitalez offers during and after the fundraising.
Can my company raise capital through Capitalez?
The review checks whether the company qualifies as a small business, its documents, risks and the other requirements of the offer and the platform. A growing company can present its case, but that does not guarantee acceptance or approval. Commercial conditions and the timeline should only be considered confirmed in the proposal and official documents.
How much can a company raise?
Under CVM Resolution 88, the sum of fundraising amounts in the same calendar year cannot exceed R$ 15 million, including earlier offers through the same or another platform. Each offer can last up to 180 days. For a partial offer, the minimum target must be at least two-thirds of the maximum target. The specific amount and targets appear in the essential offer information.
How long does a fundraising process take?
The cycle depends on the review, document structuring, outstanding issues and the timeline presented in the proposal. In this regime, the offer itself has a duration defined before it starts and cannot exceed 180 days. An approval or fundraising date should not be assumed before these stages are complete.
What does Capitalez offer during and after fundraising?
The journey may include document organization, promotion and support for information channels. Advertising for a specific offer has content limits, must direct investors to the essential information and be identified as sponsored content, without promising returns. After the offer, contracted periodic information has a minimum semi-annual frequency while applicable. If the issuer fails to provide it and does not cure the omission within 15 days, it becomes informationally defaulting and enters a public list; the platform publishes the information received within the regulatory deadlines.
Rights and protection
Rights and protection
What the law guarantees you, where to ask for help and why the platform cannot promise a return.
How do I exercise my right of withdrawal?
Under CVM Resolution 88, the ordinary withdrawal period is at least five days from the confirmation of the investment, with no fee or penalty. Confirmation occurs through a transfer of funds or signature of the investment agreement, depending on the offer flow; the count therefore does not depend only on signature. Register the request through the channel indicated on the offer page and keep the receipt. Repayment follows the applicable rules and the procedure described in the documents.
Where do I find the offer documents?
The essential information and relevant document package must be available in Portuguese before the offer starts. This includes the articles of association, the investment instrument, the issuance approval and the financial statements, with an audit when required by the rule. If an essential document is only offered after confirmation, stop the process and request the complete material.
What happens if the issuing company goes bankrupt?
Recovery depends on the instrument and the legal classification of the claim, the corporate structure, guarantees and remaining assets. Equity represents own capital and is only repaid after creditors are paid. A debt instrument receives the treatment defined by law and the agreement, not one simplistic order for everyone. There may be no recovery, and neither equity nor convertible instruments have FGC coverage.
Can I sell my stake to another investor?
In general, there is no regulated secondary market or guaranteed buyer. A transfer can only occur under the legal and contractual conditions, including preference, consent and tag-along rights, where applicable. Intermediation of subsequent transactions by a platform also depends on authorization and the conditions of the rule. Check the documents and do not assume liquidity.
Is there a minimum holding period?
There may be a lock-up or exit restriction in the agreement, but that is not an identical rule for every offer. Check the meanings of lock-up, maturity, conversion and liquidity window in the document. Even after those periods, an exit still depends on the contractual conditions and, for a sale, on a buyer, with no guarantee of repurchase or liquidity.
How do I complain if something goes wrong?
Start with the platform's support service and keep dates, messages and receipts. If the response does not resolve the issue, the CVM's Citizen Service accepts inquiries, complaints and reports related to platforms and securities offers. Consumer protection bodies may be used when the relationship falls within their scope. For specific contractual or financial measures, consider professional advice and the appropriate judicial channels.
Do I take part in the company's decisions?
It depends on the security, the company's legal form, its articles and the agreement. An equity participation may grant shareholder and voting rights within those rules. Before conversion, a convertible instrument represents a claim and grants no participation in shareholders' meetings; later rights follow the conversion conditions. The rule also does not require a company that is not a corporation to convert into that legal form.
In detail
Process details
Practical criteria for assessing offers and companies, understanding the instruments and following how the platform works.
What advantages can alternative investments offer?
The model provides access to growing Brazilian companies outside the stock exchange and lets investors take part in businesses from different sectors instead of concentrating everything in one asset. The platform gives all investors the same information about the dossier, risks, use of capital and track record, and each decision is made at the investor's own pace, without pressure. Costs and conflicts must appear in the offer documents. These possibilities do not promise returns or guarantee that an investment is suitable for you.
What should I check before confirming an investment?
Read the entire dossier and check the instrument, minimum investment, percentage offered and use of capital. Understand the conversion, governance and exit clauses, and consider how long you can keep the money invested: your time horizon must accommodate the absence of redemption or guaranteed liquidity. Compare past results with the projections, treating assumptions as assumptions and asking what happens if they do not materialize. Use the channel with the issuer to resolve questions before signing.
What practical criteria does a company need to meet to be reviewed?
In addition to qualifying as a small business company, the review considers whether it is a company incorporated in Brazil, with regular corporate documents, and its accounting is up to date. Its business activity must be evidenced by ongoing activity, such as customers or contracts, and supported by results from previous financial years, grounded projections and a defined use of capital. An established executive board and an organized corporate structure also help assess execution capacity. Meeting these points does not guarantee acceptance or approval.
What does the review of an issuing company examine?
The financial review compares revenue, margin, cash generation and debt with verifiable information. The commercial review considers the market, competitors, barriers to entry and the company's position. It also assesses the team, what has already been delivered and the capacity to execute the plan. For the use of capital, the amount, its application, the expected time to produce results and the effects of a change of plan matter. This work does not eliminate risks or guarantee that the offer will be published.
Which operating costs and disclosure rules should I check in a round?
In addition to platform remuneration, signature, accounts, bookkeeping, ownership records and any custody may have different conditions and responsible parties; check the documents without assuming there are no charges. The offer must provide equitable information to its intended investors, and its advertising has limited content and directs readers to the essential information, without personalized recommendations. Material changes follow their own communication and possible revocation rules. Commercial conditions should only be considered confirmed in the proposal and official documents.
How do equity participation and a convertible instrument compare in practice?
With equity participation, voting, meeting and information rights depend on the instrument, the company's legal form, the law and the agreement. With a convertible instrument, the investor starts as a creditor, subject to credit risk, and the agreement defines the event, deadline, formula and method of conversion, as well as possible dilution. If conversion does not occur, the agreement may provide for repayment, mandatory conversion or an extension of the deadline. The issuer generally defines the offer model; the investor chooses between different offers, always without guaranteed liquidity or results.
What is Capitalez's mission and its role between company and investor?
Its mission is to connect growing Brazilian companies and investors with documents, risks and conditions presented before signing. As an intermediary, Capitalez does not own the money or the company: it organizes decision-making for both sides with the same data available to everyone. Its vision is to make access to capital more predictable and enable investors to decide through information, without pressure. This describes the platform's method, not a promise about company performance.
How do curation, compliance and the other governance functions work?
Curation starts with diagnosis, moves through commercial and financial analysis and reaches the committee, which deliberates in a recorded session: it may proceed, impose conditions or decline, with written feedback to the company after a refusal. The Analysis and Risk Department examines operations and projections; the Curation Committee records decisions and conditions; Company Relations follows the issuer and its reports; Operations and Compliance handles registrations, documents and requirements. Compliance acts independently from the commercial area, and conflicts of interest are declared and recorded before the review.
How can I follow the registration process and confirm the platform's registration?
The completion date of the registration process depends on a third party and should not be assumed. Each round's opening is published on the corresponding offer, and people who register their interest may receive email notices about relevant developments, with no promise of frequency or advance notice. The CVM maintains a public list of registered alternative investments platforms, with CNPJ and registration code. That list is where Capitalez's authorization can be confirmed when the process ends, without assuming a number before official confirmation.
