Numbers

Parameters for understanding a round

These are limits and points of attention in the alternative investments regime. The proposal and official documents for each offer define the commercial conditions, instrument and timeline.

  • Annual limit

    Up to R$ 15 million

The limit sums the issuer's fundraising in the calendar year across all platforms.

  • Offer duration

    Up to 180 days

The offer states its duration; a partial offer's minimum target is two-thirds of the maximum.

  • How the platform is paid

    According to proposal and offer

Criteria, amounts and conflicts of interest are stated in the official documents.

  • Operating costs

    Detailed by offer

Signature, accounts and custody vary by offer; check costs and responsibilities.

  • Investor base

    Access subject to registration

Target investors receive equitable information, without personalized recommendations.

  • Information symmetry

    Shared essential information

Use of funds, risks and material changes are communicated equitably.

Regulatory limits do not define Capitalez's commercial policy. Remuneration, costs, responsibilities and other conditions should only be considered confirmed in the proposal and official documents for the deal.

The same careful curation shapes the whole platform. The home page and /en/about/ tell the full story.

Eligibility

Who can raise capital on the platform

The assessment happens before any proposal. Knowing the criteria in advance keeps the company from spending time on steps that lead nowhere.

Criteria

What the company needs to have

A structured team counts too: a defined executive board and an organized corporate setup speed up the assessment.

  • Brazilian company

Incorporated in Brazil, with corporate records and accounting up to date.

  • Track record that holds up

Clients, contracts or current operations demonstrate activity.

  • Consistent numbers

Track record, grounded projections and a clear use of capital.

Analysis

What we assess first

Two people shaking hands.
  • Numbers and operations

Revenue, margin, cash generation and debt reconciled with documents.

  • Market and competition

Market, competitors and barriers supporting the company's position.

  • Team and execution

Leadership, prior delivery and capacity to execute the plan.

  • Use of the capital

Amount, purpose, timing and alternatives if the plan changes.

Process

Six stages from the conversation to the next round

From the initial assessment to the next round, each phase has an expected timeline, a named owner and what needs to be ready to move forward.

  1. 01

    Diagnosis

The review considers the company's stage, use of funds, targets and regulatory eligibility.

    • Business diagnosis
    • Target definition
    • Timeline in the proposal
  2. 02

    Structuring

The proposal defines responsibilities and essential documents in Portuguese before the offer: instrument, risks, costs, conflicts and communication.

    • Document package
    • Costs and conflicts
    • Essential information
  3. 03

    Validation and registration

Before opening, the platform checks the offer requirements. Intermediation requires a registered platform; offer exemption is not CVM approval.

    • Issuer verification
    • Offer requirements
    • Platform registration
  4. 04

    Fundraising

The offer is published with equitable information, targets and notices. Advertising follows limits and directs investors to the essential information.

    • Sponsored content identified
    • Minimum and maximum targets
    • Confirmed amount updated
  5. 05

    Follow-up

After the offer, the issuer provides the contracted information and the platform publishes it within the applicable deadlines and channels.

    • Minimum semi-annual frequency
    • Updates published
    • Public informational default
  6. 06

    Next stage

A new round requires a new review, up-to-date information and compliance with the rule. Any exit follows the agreement, without promising liquidity.

    • Eligibility for a new offer
    • Up-to-date information
    • No liquidity guarantee

Questions

Questions from companies

The most common questions from those considering opening a fundraising round on the platform.

Did not find your question? Contact us

  • Can my company raise capital through Capitalez?

The review checks whether the company qualifies as a small business, its documents, risks and the other requirements of the offer and the platform. A growing company can present its case, but that does not guarantee acceptance or approval. Commercial conditions and the timeline should only be considered confirmed in the proposal and official documents.

  • How much can a company raise?

Under CVM Resolution 88, the sum of fundraising amounts in the same calendar year cannot exceed R$ 15 million, including earlier offers through the same or another platform. Each offer can last up to 180 days. For a partial offer, the minimum target must be at least two-thirds of the maximum target. The specific amount and targets appear in the essential offer information.

  • How long does a fundraising process take?

The cycle depends on the review, document structuring, outstanding issues and the timeline presented in the proposal. In this regime, the offer itself has a duration defined before it starts and cannot exceed 180 days. An approval or fundraising date should not be assumed before these stages are complete.

  • What does Capitalez offer during and after fundraising?

The journey may include document organization, promotion and support for information channels. Advertising for a specific offer has content limits, must direct investors to the essential information and be identified as sponsored content, without promising returns. After the offer, contracted periodic information has a minimum semi-annual frequency while applicable. If the issuer fails to provide it and does not cure the omission within 15 days, it becomes informationally defaulting and enters a public list; the platform publishes the information received within the regulatory deadlines.
